These Terms and Conditions ("Terms") constitute a legally binding agreement between the person or entity
accessing the Services ("User", "you", or "your") and Priyanix AI, operated by the legal entity identified on the
applicable invoice, payment record, subscription confirmation, official website, application, or other legally
prescribed business disclosure ("Priyanix AI", "Priyanix", "we", "us", or "our").
These Terms govern your access to and use of the Priyanix AI website, applications, mobile and desktop
software, artificial intelligence systems, AI Agents, automation systems, APIs, integrations, business tools,
accounting assistance, design tools, interview tools, writing and content-generation tools, social-media tools,
file-transfer functionality, subscription services and all other present or future products, features and
services provided through Priyanix AI (collectively, the "Services").
By creating an account, accessing the Services, clicking an acceptance button, purchasing a plan, activating a
subscription, enabling recurring payments, connecting third-party software, creating an AI Agent, granting
permissions or otherwise using Priyanix AI, you acknowledge that you have read, understood and agreed to
these Terms.
If you do not agree to these Terms, you must not access or use Priyanix AI.
1. NATURE OF PRIYANIX AI
Priyanix AI is an artificial intelligence, software, productivity and automation technology platform.
Depending upon product availability and the User's selected plan, Priyanix AI may provide functionality
including:
AI conversations and assistance;
AI memory and workspaces;
AI Agents;
automated workflows;
third-party integrations;
business-management functionality;
accounting and GST-related assistance;
OCR and document processing;
graphic, vector and signage-design tools;
AI-generated images and creative content;
interview and career-assistance tools;
AI writing and content-generation;
social-media functionality;
file-transfer and storage functionality;
APIs;
administrative and business functionality; and
other present or future AI-enabled Services.
The availability of any capability shall not constitute a representation that such capability is lawful, suitable
or appropriate for every User or every intended use.
2. PRIYANIX AI IS A TECHNOLOGY PLATFORM
Priyanix AI provides software and technological functionality.
Unless expressly agreed in writing, use of Priyanix AI does not establish any:
employer-employee relationship;
principal-agent relationship;
partnership;

joint venture;
fiduciary relationship;
professional adviser relationship;
legal representation;
financial-adviser relationship; or
other representative relationship.
An AI Agent, AI assistant, automated process or other software functionality provided through Priyanix AI is
a technological tool and shall not independently become a legal representative of Priyanix AI or the User.
The User remains the principal decision-maker and is responsible for determining what actions should be
requested, authorized, reviewed, approved, executed or relied upon.
3. ELIGIBILITY
You may use Priyanix AI only if you are legally capable of entering into a binding agreement.
Where Priyanix AI is used on behalf of a company, proprietorship, partnership, organization, institution or
other legal entity, the person using the Services represents and warrants that they possess sufficient
authority to bind that entity to these Terms.
Use of Priyanix AI is prohibited wherever such use would violate applicable law.
4. ACCOUNT RESPONSIBILITY
Certain Services require registration.
The User must provide accurate and reasonably current information.
The User is responsible for:
maintaining confidentiality of login credentials;
protecting passwords and authentication information;
securing devices used to access Priyanix AI;
controlling connected accounts;
protecting APIs and access credentials;
ensuring authorized use of the account; and
promptly notifying Priyanix AI of suspected unauthorized access.
The User must not knowingly provide unauthorized persons with access to their Priyanix AI account.
5. ACTIVITY THROUGH THE USER ACCOUNT
To the maximum extent permitted under applicable law, actions initiated using a valid authenticated User
account may be treated as actions performed under the User's authority.
The User remains responsible for:
prompts;
instructions;
commands;
uploaded files;
AI Agent instructions;
automation settings;
API requests;
connected applications;
permissions;

approvals;
external accounts; and
other actions initiated through the User's account.
6. USER RESPONSIBILITY FOR LAWFUL USE
The User bears responsibility for ensuring that their use of Priyanix AI is lawful.
The User represents and warrants that use of the Services will comply with all applicable:
laws;
regulations;
contractual obligations;
intellectual-property rights;
confidentiality obligations;
privacy requirements;
data-protection requirements;
employment laws;
tax laws;
financial regulations;
industry regulations;
third-party platform rules;
API terms;
software licenses; and
authorization requirements.
Priyanix AI does not authorize unlawful conduct.
7. TECHNICAL CAPABILITY DOES NOT CONSTITUTE LEGAL AUTHORIZATION
The fact that Priyanix AI technically enables an operation does not constitute any legal determination or
representation that the User is authorized to perform that operation.
This principle applies, without limitation, to the ability to:
connect an external account;
access an API;
upload information;
generate content;
send communications;
transfer files;
automate a process;
modify external software;
publish content;
process data; or
execute an AI Agent action.
The User must independently possess all rights, consents, licenses and permissions necessary for the
intended activity.
8. ILLEGAL, FRAUDULENT OR UNAUTHORIZED USE
Priyanix AI must not be used to commit, attempt, facilitate, encourage, conceal or assist unlawful or
unauthorized activity.

Prohibited activity includes, without limitation:
fraud;
impersonation;
identity theft;
cybercrime;
malware distribution;
unauthorized computer access;
credential theft;
unauthorized account access;
unlawful surveillance;
harassment;
threats;
illegal financial activities;
intellectual-property infringement;
unlawful processing of personal information;
unlawful scraping;
bypassing security safeguards;
distribution of unlawful material;
deceptive or unlawful synthetic media;
manipulation of third-party systems;
misuse of another person's information; and
any other activity prohibited by applicable law.
Where unlawful or unauthorized activity results from a User's actions, instructions, configuration,
negligence, fraud or misuse, responsibility for that conduct and its consequences remains with the User to
the maximum extent permitted by applicable law.
Priyanix AI does not authorize, encourage or endorse such conduct.
9. NO AUTHORIZATION FROM FAILURE TO BLOCK AN ACTION
Priyanix AI may employ safeguards designed to detect prohibited activity.
No automated system can guarantee detection of every illegal or inappropriate instruction.
Accordingly, a User may not claim that an action was authorized merely because:
Priyanix AI generated an output;
an instruction was accepted;
no warning appeared;
an AI Agent executed the instruction;
an automation proceeded;
an integration connected;
a file was accepted; or
Priyanix AI did not know the User's unlawful intent.
Failure to block an instruction shall not constitute approval, authorization, ratification or endorsement.
10. AI-GENERATED OUTPUT
Artificial intelligence systems may make mistakes.
Outputs may be:
inaccurate;

incomplete;
outdated;
misleading;
technically incorrect;
inappropriate;
unexpected; or
unsuitable for the User's intended purpose.
Users must independently review and verify material AI-generated output.
Priyanix AI does not guarantee:
accuracy;
completeness;
originality;
uniqueness;
commercial suitability;
legal compliance;
regulatory compliance;
fitness for a particular purpose; or
uninterrupted or error-free results.
11. USER DECISIONS
The User is responsible for decisions taken in reliance on the Services.
This includes decisions concerning:
business;
finance;
accounting;
GST;
taxation;
legal matters;
employment;
recruitment;
marketing;
advertising;
manufacturing;
design;
printing;
external software;
customer communication;
contracts;
investments;
operations; and
other consequential decisions.
Priyanix AI does not assume responsibility merely because a User relied upon an AI-generated
recommendation or automated result.

12. NO PROFESSIONAL ADVICE
Unless expressly provided by an appropriately qualified professional through a separately identified service,
Priyanix AI does not provide certified:
legal advice;
accounting advice;
taxation advice;
investment advice;
financial advice;
medical advice;
engineering certification;
regulatory advice; or
other licensed professional advice.
Users should consult qualified professionals where required.
13. AI AGENTS
Priyanix AI may allow Users to create and configure AI Agents capable of interacting with Priyanix AI
Services and, where supported, third-party software.
The User remains responsible for:
defining the Agent's objective;
providing instructions;
selecting connected software;
granting permissions;
controlling access;
reviewing proposed actions;
monitoring activity;
approving high-impact operations; and
ensuring lawful use.
14. USER AUTHORIZATION OF AI AGENT ACTIONS
Where a User instructs an AI Agent to perform an action or grants the Agent permission to perform a
category of actions, the User authorizes the relevant action subject to Priyanix AI's technical safeguards.
The User is responsible for ensuring that all instructions are:
lawful;
authorized;
accurate;
appropriate; and
within the User's legal authority.
15. AI AGENT AND AUTOMATION ERRORS
AI Agents and automation may:
misunderstand instructions;
fail to execute;
execute incorrectly;
produce an unintended result;

encounter external restrictions;
act differently because of third-party changes;
become incompatible with external software; or
be interrupted by technical failure.
Users must monitor material automation and maintain appropriate human oversight.
16. HIGH-IMPACT ACTIONS
Users must exercise enhanced care before allowing AI or automation to perform actions involving:
financial transactions;
deletion of important information;
contractual communications;
government submissions;
taxation;
employee decisions;
customer commitments;
advertising expenditure;
publication of content;
account permissions;
security settings;
production orders;
external account changes; or
any other materially consequential action.
The User retains responsibility for deciding whether such an operation should proceed.
17. PRIYANIX AI MAY REQUIRE HUMAN APPROVAL
Priyanix AI may require explicit User confirmation before executing particular actions.
Approval by the User constitutes authorization of the approved action.
An approval system does not eliminate the User's responsibility for decisions and instructions approved by
the User.
18. RIGHT TO REFUSE EXECUTION
Priyanix AI may refuse, block, delay, interrupt or restrict an action where it reasonably determines that:
the instruction may violate law;
these Terms may have been violated;
fraud may be involved;
unauthorized access may be involved;
another person may be harmed;
abuse is suspected;
the action creates a security risk;
authority is unclear;
required permissions appear absent; or
restriction is reasonably required for compliance.
Priyanix AI is under no obligation to execute every instruction.

19. EXTERNAL SOFTWARE
Priyanix AI may permit Users to connect third-party:
applications;
websites;
APIs;
software;
email accounts;
cloud services;
databases;
social-media platforms;
business applications;
CRM systems;
productivity tools; or
other external services.
The User represents that they have lawful authority to connect each service.
20. USER RESPONSIBILITY FOR THIRD-PARTY CONNECTIONS
The User remains solely responsible, to the extent permitted by law, for deciding:
which software to connect;
what accounts to authorize;
what permissions to grant;
what information to expose;
what actions the AI Agent may perform; and
whether the connection complies with applicable third-party terms.
21. UNAUTHORIZED CONNECTIONS PROHIBITED
Users must not connect:
another person's account without permission;
employer systems without authorization;
customer or supplier systems without authority;
confidential systems without permission;
stolen accounts;
stolen API keys;
unlawfully acquired credentials;
databases the User has no right to access; or
any service where the User is prohibited from granting such access.
22. THIRD-PARTY SERVICES
Independent third-party platforms remain subject to their own terms, policies, availability and technical
requirements.
Priyanix AI does not control independent third-party platforms.
23. THIRD-PARTY SERVICE DISCLAIMER
To the maximum extent permitted by law, Priyanix AI shall not be liable solely for failures caused by
independent third parties, including:

third-party outages;
API changes;
rate limits;
account suspension;
account termination;
policy changes;
discontinued APIs;
pricing changes;
external security incidents;
third-party data loss;
external account restrictions;
revoked API permissions;
rejected communications; or
other independent third-party decisions.
24. BUSINESS, ACCOUNTING AND GST FEATURES
Priyanix AI may provide tools relating to:
accounts;
GST;
invoices;
vouchers;
expenses;
customers;
suppliers;
OCR;
document extraction;
financial reports;
business analysis; or
business operations.
Users are responsible for verifying information before relying upon it or submitting it to any government
body or other party.
Priyanix AI is not a substitute for a Chartered Accountant, tax practitioner or other qualified professional.
25. PRIYANIX STUDIO, DESIGN AND SIGNAGE
Priyanix AI may provide graphic, vector, signage, print, production and AI-assisted design functionality.
The User must independently verify final:
dimensions;
measurements;
scale;
colours;
colour profiles;
bleed;
print settings;
cutting paths;
materials;
manufacturing specifications;

LED calculations;
copyrights;
trademarks;
licenses;
fonts;
production tolerances; and
other commercial-production requirements.
Priyanix AI does not guarantee that automatically generated artwork is production-ready without User
verification.
26. INTERVIEW AND CAREER SERVICES
Priyanix AI may provide:
resume analysis;
mock interviews;
JD matching;
suggested interview answers;
career recommendations;
job-discovery assistance; or
other career tools.
Priyanix AI does not guarantee:
employment;
interview selection;
employer response;
salary;
job placement;
promotion; or
any recruitment outcome.
The User is responsible for ensuring that information provided to prospective employers is truthful.
27. AI WRITER AND GENERATED CONTENT
The User must review AI-generated content before publication or commercial use.
Priyanix AI does not guarantee that generated content is:
factually correct;
unique;
legally compliant;
non-infringing;
suitable for advertising;
suitable for a regulated sector; or
compliant with every third-party platform policy.
28. SYNTHETIC OR AI-GENERATED CONTENT
Users must comply with applicable requirements governing AI-generated, synthetic, manipulated or altered
media.
Users must not intentionally use Priyanix AI to create or distribute unlawful deceptive synthetic content.

Priyanix AI may use disclosures, provenance systems, labels, watermarks, metadata or other mechanisms
where required or reasonably appropriate.
Users must not unlawfully bypass legally required provenance or disclosure measures.
29. USER CONTENT
“User Content” includes prompts, documents, images, audio, video, files, designs, business information, data,
software inputs and other material submitted through the Services.
The User retains applicable rights in User Content.
The User represents and warrants that they have the necessary rights and authority to submit and process
User Content.
30. THIRD-PARTY DATA
If a User submits information concerning another person, customer, employee, supplier, company or other
party, the User is responsible for ensuring that they possess a lawful basis and any permissions required to
process that information.
Technical ability to upload information does not constitute Priyanix AI's confirmation that the processing is
lawful.
31. PRIVACY AND DATA PROTECTION
Priyanix AI shall process applicable personal information in accordance with its Privacy Policy and
applicable law.
Users remain responsible for their own legal obligations relating to information they independently collect,
upload or process through Priyanix AI.
32. PRIYANIX TRANSFER AND FILE SERVICES
Priyanix AI may permit Users to upload, send, store, transfer or download files.
Users must not knowingly upload:
malware;
malicious code;
unlawful content;
stolen information;
unauthorized confidential information;
infringing materials; or
other prohibited files.
Users should maintain independent backups of important information.
Priyanix AI does not guarantee indefinite storage unless specifically stated.
33. PRIYANIX AI INTELLECTUAL PROPERTY
All proprietary rights relating to Priyanix AI, including applicable:
software;
source code;
trademarks;
logos;

branding;
proprietary UI components;
documentation;
workflows;
algorithms;
databases;
systems;
technology; and
proprietary platform material
belong to Priyanix AI or its licensors.
34. REVERSE ENGINEERING AND PLATFORM ABUSE
Except where mandatory law expressly permits otherwise, Users must not:
reverse engineer protected Priyanix software;
unlawfully copy proprietary functionality;
exploit vulnerabilities;
circumvent safeguards;
scrape protected data without authorization;
reproduce Priyanix branding without authority;
resell unauthorized access; or
interfere with the operation or security of the Services.
35. OWNERSHIP OF AI OUTPUT
To the extent permitted under applicable law and subject to third-party rights, Priyanix AI does not claim
ownership over eligible output generated specifically for a User through lawful use of the Services.
However, AI-generated outputs may be identical or similar to content generated for others.
Priyanix AI does not guarantee:
exclusivity;
copyrightability;
trademark availability;
originality; or
absence of third-party intellectual-property rights.
36. SUBSCRIPTIONS
Priyanix AI may provide free, paid, promotional, trial, recurring, token-based or usage-based plans.
Different plans may provide different:
functionality;
tokens;
credits;
storage;
AI Agent limits;
automation limits;
integrations;
usage limits; and
AI-model access.

37. TOKENS AND CREDITS
Unless expressly stated otherwise, tokens, credits or similar platform allowances:
do not constitute money;
have no cash redemption value;
are not transferable;
may expire;
may be subject to plan limits; and
may cease to be usable upon termination of the applicable plan.
38. AUTOMATIC RENEWAL AND AUTO-DEBIT
Where the User knowingly purchases a recurring subscription and authorizes a supported recurring
payment mandate, the User expressly authorizes recurring subscription charges in accordance with the
payment mandate, displayed subscription terms and applicable payment regulations.
Recurring-payment mechanisms may include:
UPI AutoPay;
card mandates;
bank mandates;
standing instructions;
application-store billing;
payment-gateway subscriptions; or
other supported recurring methods.
A recurring subscription may continue until properly cancelled.
39. RESPONSIBILITY TO CANCEL AUTOPAY
The User is responsible for monitoring the renewal date and disabling or cancelling recurring billing before
renewal if the User no longer wishes to continue the Service.
Merely:
deleting the Priyanix AI application;
not logging in;
ceasing use;
leaving the account inactive; or
deleting local data
does not necessarily terminate an independently active recurring-payment mandate.
The User should obtain confirmation that cancellation has successfully completed.
40. PAYMENT PROCESSORS
Payments may be processed by independent payment gateways, banks, card networks, UPI providers or
application stores.
Such providers may apply their own terms.
To the maximum extent permitted by law, Priyanix AI shall not be responsible for delays or errors caused
solely by an independent payment provider.

41. NON-REFUNDABLE PAYMENTS
EXCEPT WHERE APPLICABLE LAW MANDATORILY REQUIRES A REFUND, REVERSAL OR OTHER
REMEDY, VALIDLY CHARGED PAYMENTS FOR PRIYANIX AI DIGITAL SERVICES ARE FINAL AND NON
REFUNDABLE.
This includes, where applicable:
subscriptions;
subscription renewals;
tokens;
credits;
AI usage;
upgrades;
add-ons;
storage;
automation allowances;
Agent-related usage; and
other activated digital Services.
Refunds will ordinarily not be provided merely because:
the User changed their mind;
the User did not use the Service;
the User forgot to cancel AutoPay;
an authorized recurring renewal occurred;
the User failed to monitor the renewal date;
unused tokens or credits remained;
an external integration became unavailable;
a third-party platform restricted the User's account;
the User incorrectly used the Service; or
the account was suspended because of User misconduct.
Nothing in this section removes mandatory statutory rights.
42. NO REFUND AFTER MISUSE OR TERMINATION FOR CAUSE
To the maximum extent permitted under applicable law, suspension or termination resulting from:
illegal use;
fraud;
abuse;
prohibited activity;
security violations;
unauthorized access;
Terms violations; or
other serious User misconduct
shall not automatically entitle the User to reimbursement for:
unused subscription time;
unused credits;
unused tokens;
storage;
Agent capacity; or

any other digital benefit.
43. CHARGEBACKS
Users must not knowingly initiate fraudulent or dishonest chargebacks relating to validly purchased
Services.
Priyanix AI may temporarily restrict accounts associated with disputed payments while the payment is
investigated.
This section does not prevent legitimate exercise of banking, payment or consumer rights.
44. RIGHT TO SUSPEND, HOLD OR TERMINATE
To the extent permitted by law, Priyanix AI may hold, restrict, disable, suspend or terminate an account,
subscription, AI Agent, API connection, integration or Service where Priyanix AI reasonably believes that:
these Terms have been violated;
the Service has been misused;
illegal activity may have occurred;
fraudulent activity is suspected;
unauthorized access is suspected;
another person's rights may have been violated;
a payment is fraudulent;
platform safeguards have been bypassed;
a significant security threat exists;
the User creates material risk to Priyanix AI or third parties; or
action is required for legal or regulatory compliance.
45. SUSPENSION WITHOUT PRIOR NOTICE
Where immediate intervention is reasonably necessary for:
security;
fraud prevention;
abuse prevention;
protection of users;
protection of third parties;
preservation of evidence;
platform integrity; or
legal compliance,
Priyanix AI may suspend access without advance notice, subject to applicable law.
46. INVESTIGATIONS
Priyanix AI may reasonably investigate suspected violations.
During an investigation, Priyanix AI may restrict relevant functionality including:
AI Agents;
APIs;
integrations;
file transfers;
account access;
subscriptions; or

other affected functionality.
47. LOGS, EXECUTION RECORDS AND SECURITY EVIDENCE
To the extent permitted or required by law, Priyanix AI may maintain records reasonably necessary for:
authentication;
cybersecurity;
execution integrity;
Agent activity;
fraud prevention;
billing;
debugging;
dispute resolution;
platform abuse investigation;
compliance;
enforcement of these Terms; and
establishing the circumstances surrounding User-authorized actions.
Such records shall be handled in accordance with applicable data-protection requirements.
48. COOPERATION WITH COMPETENT AUTHORITIES
Priyanix AI may preserve, disclose or provide information where legally required pursuant to:
applicable law;
valid court orders;
binding legal process;
lawful government requests;
regulatory directions; or
other enforceable legal obligations.
Nothing in these Terms shall require Priyanix AI to conceal, destroy evidence of, facilitate or protect
unlawful User conduct.
49. NO DUTY TO DEFEND USER MISCONDUCT
Priyanix AI has no contractual obligation to defend a User against proceedings, claims, investigations,
penalties or complaints caused by that User's unlawful or unauthorized activity.
50. USER INDEMNIFICATION
To the maximum extent permitted under applicable law, the User agrees to indemnify, defend and hold
harmless Priyanix AI, its legal operator, founders, owners, directors, officers, employees, affiliates,
contractors, licensors, service providers and representatives from third-party claims, liabilities, losses,
damages, penalties, judgments, settlements and reasonable legal expenses arising from or relating to:
unlawful use by the User;
fraud by the User;
violation of these Terms;
User Content;
infringement of third-party rights;
unlawful data processing;
unauthorized account access caused or initiated by the User;

external software connected by the User;
AI Agent instructions supplied by the User;
breach of third-party platform terms;
violation of confidentiality obligations;
misrepresentation by the User; or
other unlawful User conduct.
This obligation survives termination to the extent permitted under applicable law.
51. SERVICE AVAILABILITY
Priyanix AI does not guarantee continuous availability.
The Services may be affected by:
maintenance;
upgrades;
cloud infrastructure problems;
API failures;
network outages;
cyber incidents;
government restrictions;
third-party changes;
technical defects; or
events beyond reasonable control.
52. CHANGES TO SERVICES
Priyanix AI may introduce, remove, modify, replace or restrict features, models, limits, integrations or
technical requirements.
Where applicable law requires notice concerning a material contractual change, appropriate notice will be
provided.
53. BETA AND EXPERIMENTAL SERVICES
Beta, preview, experimental and early-access functionality may contain defects or behave unpredictably.
Such Services may be modified or discontinued.
Users accept the additional technical risks associated with experimental functionality.
54. USER SECURITY RESPONSIBILITIES
Users are responsible for protecting:
passwords;
OTPs;
API keys;
access tokens;
recovery codes;
connected accounts;
authentication devices; and
other security credentials.
A User must promptly report suspected unauthorized account access.

55. SAFETY AND PLATFORM PROTECTIONS
Priyanix AI may implement:
permission controls;
authentication;
human approvals;
rate limits;
AI safety mechanisms;
abuse detection;
execution restrictions;
logging;
content restrictions;
account restrictions;
usage quotas; and
other security controls.
Users must not intentionally circumvent these protections.
56. MATERIAL BREACH
The following may constitute material breaches of these Terms:
serious unlawful activity;
fraud;
deliberate platform abuse;
unauthorized access;
credential theft;
malicious software;
deliberate circumvention of security systems;
serious intellectual-property infringement;
material misuse of AI Agents; or
activity creating serious risk to Priyanix AI or third parties.
A material breach may result in immediate termination.
57. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIYANIX AI IS PROVIDED ON AN "AS
IS" AND "AS AVAILABLE" BASIS.
Priyanix AI does not warrant that:
AI outputs will always be correct;
every automation will execute successfully;
AI Agents will always interpret instructions accurately;
the Service will always be available;
external software will remain compatible;
all security risks can be eliminated;
every third-party integration will continue working; or
Priyanix AI will satisfy every User's particular requirements.
Nothing in these Terms excludes any warranty that cannot lawfully be excluded.

58. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIYANIX AI, ITS LEGAL OPERATOR,
OWNERS, FOUNDERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, LICENSORS
AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY,
PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE SERVICES.
This includes, where legally permissible:
loss of profits;
loss of revenue;
loss of opportunity;
loss of business;
business interruption;
loss of data;
loss of goodwill;
reputational damage;
AI errors;
Agent errors;
automation failures;
third-party account suspension;
external software failure;
User configuration errors;
User-authorized actions;
unauthorized conduct by the User; or
reliance upon AI-generated content.
Nothing in these Terms limits liability which applicable law does not permit to be limited.
59. MAXIMUM AGGREGATE LIABILITY
To the maximum extent permitted by applicable law, where Priyanix AI is determined to have contractual
liability notwithstanding the preceding provisions, aggregate liability relating to a paid Service shall not
exceed the amount actually paid by the claimant to Priyanix AI for the directly affected Service during the
six months immediately preceding the event giving rise to the claim.
Where applicable law requires otherwise, applicable law shall prevail.
60. USER MISUSE
Priyanix AI shall not be responsible, to the maximum extent permitted by law, for consequences caused by
unlawful, fraudulent, negligent, unauthorized or prohibited conduct of the User.
Such consequences may include:
legal proceedings;
regulatory action;
investigations;
account restrictions;
third-party complaints;
penalties;
commercial loss; or
financial loss
caused by the User's misconduct.

61. USER-CONNECTED SOFTWARE
Priyanix AI does not assume responsibility merely because the User voluntarily connects an external
application or account.
The User is responsible for deciding:
what to connect;
what data may be accessed;
what permissions to grant;
what actions an AI Agent may perform; and
what operations to approve.
62. OPERATIONAL RISK
The User acknowledges that artificial intelligence, automation and software integrations inherently involve
technical and operational risks.
The User assumes reasonable risks associated with User-authorized operations, except to the extent
applicable law places responsibility upon Priyanix AI.
63. FORCE MAJEURE
Priyanix AI shall not be responsible for delay or failure caused by circumstances outside reasonable control,
including:
natural disasters;
war;
government restrictions;
internet outages;
cloud-provider failures;
telecommunications disruption;
electricity failures;
strikes;
pandemics;
cyberattacks; or
similar force-majeure events.
64. ACCOUNT CLOSURE
Users may request closure of their account through an available account-management or support process.
Account closure does not automatically:
cancel a separately authorized recurring-payment mandate;
result in a refund;
eliminate outstanding obligations; or
require deletion of information that Priyanix AI is legally required or permitted to retain.
65. SURVIVAL
The following provisions survive termination where legally applicable:
intellectual-property provisions;
outstanding payment obligations;
User representations;

liability limitations;
indemnification;
dispute provisions;
confidentiality obligations;
security provisions; and
legally required record-retention provisions.
66. CHANGES TO THESE TERMS
Priyanix AI may update these Terms.
The revised Terms will display an updated "Last Updated" date.
Where required by law, Users will receive appropriate notice of material changes.
Continued use after revised Terms become effective constitutes acceptance to the extent permitted by law.
67. SEVERABILITY
If any provision is found invalid, unlawful or unenforceable, that provision shall be modified or limited only
to the minimum extent necessary where legally permissible.
The remaining provisions shall remain effective.
68. NO WAIVER
Failure by Priyanix AI to immediately enforce any provision shall not constitute waiver of that provision or
any other right.
69. ENTIRE AGREEMENT
These Terms, together with the applicable:
Privacy Policy;
subscription terms;
Refund and Cancellation provisions;
product-specific terms;
consent notices; and
other policies expressly incorporated by reference
constitute the agreement relating to the User's use of Priyanix AI.
70. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of India.
Nothing in these Terms eliminates statutory rights that cannot legally be excluded or waived.
71. DISPUTE RESOLUTION
Where reasonably possible, Users should first contact Priyanix AI through the official support or grievance
mechanism and attempt to resolve disputes in good faith.
Nothing in this clause prevents a party from obtaining urgent relief or exercising a mandatory statutory
remedy.

72. JURISDICTION - JAIPUR, RAJASTHAN
Subject to mandatory statutory jurisdiction and consumer rights that cannot lawfully be excluded, any
contractual dispute arising out of or relating to:
Priyanix AI;
the Services;
subscriptions;
payments;
AI Agents;
third-party integrations;
these Terms; or
the contractual relationship between Priyanix AI and the User
shall be subject to the jurisdiction of the competent courts situated at:
JAIPUR, RAJASTHAN, INDIA.
To the maximum extent legally permissible, the parties agree that Jaipur, Rajasthan, India shall be the
contractual forum for such disputes.
73. LEGAL AND SUPPORT CONTACT
Platform: Priyanix AI
Operator: The registered legal entity operating Priyanix AI, as identified on the applicable tax invoice, official
payment record, subscription confirmation, business disclosure or official Priyanix AI website/application.
Principal Business Jurisdiction: Jaipur, Rajasthan, India.
Country: India.
Customer Support: Through the official Priyanix AI application, website or other support channel designated
by Priyanix AI.
Legal Notices: Through the official legal/support contact published by Priyanix AI on its website, application,
invoice or statutory disclosure.
This contact provision shall be updated with the operator's exact registered legal name, registered postal
address, email address, telephone number and tax/business registration particulars before public
commercial launch where applicable law requires such disclosures.
74. GRIEVANCE MECHANISM
Priyanix AI shall maintain a grievance or customer-support mechanism to the extent required by applicable
law.
Users may submit complaints through the official grievance/support channel displayed on the Priyanix AI
website or application.
Before commercial launch, the applicable Grievance Officer's name, official email address, contact
particulars and postal address shall be inserted based upon the actual legal entity operating Priyanix AI.
75. EXPRESS USER REPRESENTATIONS AND ACKNOWLEDGEMENTS
By using Priyanix AI, the User expressly acknowledges and agrees that:
1. Priyanix AI is a technology platform.
2. Artificial intelligence can produce incorrect results.

3. The User is responsible for lawful use.
4. The User is responsible for commands issued through their account.
5. Technical capability does not constitute legal authorization.
6. The User must possess authority over connected software.
7. The User must have lawful rights to process uploaded third-party data.
8. The User remains responsible for permissions granted to AI Agents.
9. The User must review materially consequential AI output.
10. Priyanix AI may refuse execution of unsafe or prohibited instructions.
11. Priyanix AI may require human approval for certain actions.
12. Priyanix AI may investigate suspected abuse.
13. Priyanix AI may immediately restrict or suspend an account where reasonably necessary.
14. Illegal or unauthorized use may result in permanent termination.
15. User misconduct does not automatically create a refund entitlement.
16. Validly charged digital Services are generally non-refundable except where applicable law requires
otherwise.
17. AutoPay and recurring-payment mandates must be properly cancelled by the User when the User does
not wish to renew.
18. Stopping use of the Service does not necessarily cancel AutoPay.
19. The User is responsible for software voluntarily connected by the User.
20. Independent third-party services remain outside Priyanix AI's direct control.
21. Failure to detect an unlawful instruction does not constitute Priyanix AI's approval.
22. Priyanix AI may preserve security and execution records where lawful.
23. Priyanix AI may comply with legally binding requirements of competent authorities.
24. Priyanix AI is not contractually required to defend a User's unlawful conduct.
25. The User may be required to indemnify Priyanix AI against qualifying third-party claims caused by
User misconduct.
26. Priyanix AI's liability is limited to the maximum extent permitted by applicable law.
27. Jaipur, Rajasthan is the agreed contractual jurisdiction to the extent legally permissible.
28. These Terms remain subject to mandatory Indian law.
76. FINAL USER ACCEPTANCE
BY REGISTERING, CLICKING "I AGREE", PURCHASING OR RENEWING A SUBSCRIPTION, ACTIVATING
AUTOPAY, CONNECTING EXTERNAL SOFTWARE, CREATING OR OPERATING AN AI AGENT, GRANTING
PERMISSIONS OR OTHERWISE USING PRIYANIX AI, THE USER CONFIRMS THAT THE USER HAS READ,
UNDERSTOOD AND AGREED TO THESE TERMS AND CONDITIONS.
THE USER ACCEPTS RESPONSIBILITY FOR THEIR OWN INSTRUCTIONS, USER CONTENT,
AUTHORIZATIONS, CONNECTED ACCOUNTS, PERMISSIONS, DECISIONS AND LAWFUL USE OF THE
SERVICES.
PRIYANIX AI DOES NOT AUTHORIZE ILLEGAL ACTIVITY. ANY USER WHO USES PRIYANIX AI FOR
ILLEGAL, FRAUDULENT, UNAUTHORIZED, ABUSIVE OR PROHIBITED PURPOSES MAY HAVE THEIR

ACCESS IMMEDIATELY RESTRICTED, SUSPENDED OR TERMINATED TO THE MAXIMUM EXTENT
PERMITTED BY APPLICABLE LAW.
PRIYANIX AI RESERVES ALL RIGHTS AND REMEDIES AVAILABLE UNDER THESE TERMS AND
APPLICABLE LAW.
